You agree to:

• Provide accurate and complete information when using our Services
• Maintain the confidentiality of any account credentials
• Use the Services only for lawful purposes and in compliance with all applicable laws
• Not interfere with or disrupt the Services or servers
• Not attempt to gain unauthorized access to any part of the Services
• Not use the Services to transmit any harmful code, viruses, or malware

4. Intellectual Property Rights

4.1 Our Rights

All content, features, and functionality of the Services, including but not limited to text, graphics, logos, software, and designs, are owned by Laravel or our licensors and are protected by copyright, trademark, and other intellectual property laws.

4.2 Client Work

Upon full payment for services rendered, clients will receive the agreed-upon deliverables and intellectual property rights as specified in the applicable service agreement. Unless otherwise agreed in writing, we retain the right to use general knowledge, skills, and experience gained from projects in future work.

5. Payment Terms

For consulting and development services:

• Payment terms will be specified in individual service agreements or invoices
• All fees are exclusive of taxes, which will be added where applicable
• Late payments may be subject to interest charges and suspension of services
• Refunds are handled on a case-by-case basis as specified in service agreements

6. Warranties and Disclaimers

6.1 Professional Standards

We will perform services in a professional and workmanlike manner consistent with industry standards. However, we do not guarantee specific results or outcomes.

6.2 Disclaimer

THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT.

7. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, Laravel SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS OR REVENUES, WHETHER INCURRED DIRECTLY OR INDIRECTLY, OR ANY LOSS OF DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES RESULTING FROM:

• Your use or inability to use the Services
• Any unauthorized access to or use of our servers or any personal information
• Any interruption or cessation of the Services
• Any bugs, viruses, or other harmful code that may be transmitted through the Services
• Any errors or omissions in any content or for any loss or damage incurred as a result of the use of any content

IN NO EVENT SHALL OUR TOTAL LIABILITY TO YOU EXCEED THE AMOUNT PAID BY YOU TO US IN THE SIX (6) MONTHS PRECEDING THE EVENT GIVING RISE TO LIABILITY.

8. Indemnification

You agree to indemnify, defend, and hold harmless Laravel, its officers, directors, employees, contractors, and agents from and against any claims, liabilities, damages, losses, and expenses arising out of or in any way connected with your access to or use of the Services, your violation of these Terms, or your violation of any rights of another party.

9. Confidentiality

Both parties agree to maintain the confidentiality of any proprietary or confidential information disclosed during the course of the business relationship. This obligation survives the termination of these Terms.

10. Termination

We reserve the right to suspend or terminate your access to the Services at any time, with or without cause, with or without notice. Upon termination, all provisions of these Terms that by their nature should survive termination shall survive, including but not limited to ownership provisions, warranty disclaimers, and limitations of liability.

11. Modifications to Terms

We reserve the right to modify these Terms at any time. We will notify users of any material changes by posting the new Terms on this page and updating the "Last updated" date. Your continued use of the Services after such changes constitutes your acceptance of the new Terms.

12. Governing Law and Dispute Resolution

These Terms shall be governed by and construed in accordance with the laws of the jurisdiction in which Laravel is registered, without regard to its conflict of law provisions. Any disputes arising from these Terms or the Services shall be resolved through good faith negotiations. If negotiations fail, disputes shall be subject to the exclusive jurisdiction of the courts in our registered jurisdiction.

If any provision of these Terms is found to be unenforceable or invalid, that provision will be limited or eliminated to the minimum extent necessary so that these Terms will otherwise remain in full force and effect.

14. Entire Agreement

These Terms, together with any service agreements or statements of work, constitute the entire agreement between you and Laravel regarding the use of our Services and supersede all prior agreements and understandings.
